xAI
xAI is Elon Musk's artificial intelligence operating company — the entity that develops the Grok model, operates the Colossus supercomputer facility, holds the Pentagon's classified AI contract, and served as the AI business being absorbed into SpaceX through the February 2026 all-stock merger. It is the node that connects the DOGE-era federal data access episode, the government contracting pathway, the Musk private entity infrastructure managed by Jared Birchall, and the regulatory landscape preceding the merger. Amanda Scales, who managed xAI recruiting, carried xAI equity into her role as OPM Chief of Staff where she coordinated federal workforce terminations before returning to xAI — making xAI the employer on both sides of that revolving door transaction.
xAI Corp, incorporated in Nevada and headquartered at 1450 Page Mill Road, Palo Alto, California, was founded by Elon Musk in 2023 to compete directly with OpenAI and Anthropic. Within thirty months of incorporation it had raised $12 billion across two rounds — a $6 billion Series B in May 2024 and a $6 billion Series C in December 2024 — from investors including a16z, Sequoia, Fidelity, BlackRock, Lightspeed, Qatar Investment Authority, Nvidia, AMD, and Saudi Prince Alwaleed's Kingdom Holding 1. A parallel network of small SPV fund vehicles managed by Sydecar LLC filed five additional Form D offerings between June 2024 and February 2026, all registered to a Claymont, Delaware registered-agent address, none identifying xAI Corp itself as a registered SEC entity 2.
In July 2025, the Pentagon awarded a contract worth up to $200 million to AIQ Phase LLC — a Wyoming entity registered at xAI's Palo Alto office address, incorporated May 2024 and activated in SAM.gov on November 6, 2025, two weeks before the award announcement — for integration of xAI's Grok model across approximately three million military and civilian DoD personnel 3 4. By February 2026 xAI had secured access to classified Pentagon systems, replacing Anthropic's Claude, which had held that position but lost it after refusing a Pentagon demand to make its model available for 'all lawful purposes,' a standard that specifically covers mass surveillance of Americans and development of fully autonomous weapons 5.
SpaceX acquired xAI on February 2, 2026 in an all-stock transaction that set the combined valuation at $1.25 trillion, using X.AI Holdings Corp — a Nevada merger vehicle with Jared Birchall as Corporate Secretary — as the structural vehicle 6 7. According to industry reporting, the Colossus supercomputer facility in Memphis, Tennessee, began Phase 1 with 100,000 Nvidia H100 GPUs in 122 days and is expanding toward 555,000 GPUs at 2 gigawatts of power capacity, operates through CTC Property LLC, a Nevada entity managed by Birchall's Excession LLC family office under a 21-year lease on the former Electrolux factory at 3231 Paul R Lowry Road 8 9 10.

xAI Colossus: World's largest AI training facility in Memphis, TN. Phase 1: 100K Nvidia H100 GPUs operational in 122 days (called 'superhuman' by Jensen Huang). Phase 2: expanding to 200K GPUs (May 2025). Phase 3: third building purchased Jan 2026, expanding to 555K GPUs at 2 GW total capacity. 18B in Nvidia GPU purchases. Plans for 1M GPUs. 80M wastewater treatment center to reuse 13M gallons/day. This facility is the compute backbone for Grok models now deployed via Pentagon (200M contract) and GSA (42 cents/query) deals. Combined with DOGE-obtained government data access, creates unprecedented concentration of government data + AI compute under one person's control.
xAI awarded $200M Pentagon contract for Grok AI in military systems, including classified access
In July 2025, Pentagon awarded xAI $200M contract to provide Grok AI to 3 million military personnel. In February 2026, xAI signed agreement for Grok access to classified Pentagon systems — previously only Anthropic Claude had classified access. xAI agreed to 'all lawful purposes' standard that Anthropic refused (Anthropic blocked mass surveillance and autonomous weapons use). DOGE staff reportedly spent months pushing agencies to adopt Grok before contract. Sen. Warren demanded investigation in September 2025.
xAI replaced Anthropic for classified Pentagon AI access; Anthropic refused 'all lawful purposes' standard blocking mass surveillance and autonomous weapons
Prior to xAI's classified access deal, Anthropic's Claude was the only AI model available in classified Pentagon systems used for sensitive intelligence work, weapons development, and battlefield operations. Anthropic lost this position because it refused the Pentagon's demand to make Claude available for 'all lawful purposes,' specifically blocking mass surveillance of Americans and development of fully autonomous weapons. xAI's Grok agreed to the 'all lawful purposes' standard. This represents a significant policy choice: the Pentagon chose an AI company willing to remove ethical guardrails over one that maintained them. OpenAI and Google also in talks for classified access.
xAI has multiple SEC Form D filings through fund vehicles managed by Sydecar LLC (a fund administration platform). Identified entities: xAI 2 May 2024 (CIK 2026824, filed Jun 2024), xAi a Series of OORI LLC (CIK 2054050, filed Jan 2025), xAI 2025(1) (CIK 2080444, filed Aug 2025), xAI 2025(2) (CIK 2102114, filed Dec 2025, .5K offering, 3 investors), xAI Grain Ventures Jan 2026 (CIK 2109943, filed Feb 2026, .5K offering, 11 investors). All registered at 2093 Philadelphia Pike, Claymont DE 19703 (registered agent address). These are small SPV fund vehicles, not xAI's primary fundraising. xAI Corp itself is not a registered SEC entity.
Notable FEC finding: Marc Tessier-Lavigne, listed as CEO at xAI, made a ,300 contribution to Liccardo for Congress. Tessier-Lavigne is the former Stanford president who resigned in 2023 amid research misconduct allegations. His appearance as xAI CEO in FEC records (employer field) is a significant personnel connection. Also: xAI employees show predominantly small Democratic donations (ActBlue), with AI tutors making up a large portion of identifiable xAI donor-employees.

xAI-government integration pipeline: (1) DOGE gave Musk team access to Treasury payment systems, IRS data, and sensitive government databases in Feb-Apr 2025. DOGE ordered IRS to remove data access restrictions and proposed cross-agency data sharing. (2) Pentagon awarded xAI ~200M contract to integrate Grok into military operations for 3M military/civilian personnel, handling sensitive government information. Sen. Warren questioned contract after Grok's antisemitic posts. (3) GSA deal: federal agencies can buy Grok 4 for 42 cents until March 2027. (4) SpaceX-xAI merger discussions at 1.25T valuation would combine government data access with AI capabilities. Pattern: DOGE provided data access -> xAI products deployed on that data -> Musk profits from both.
xAI signed agreement to deploy Grok in DoD classified systems, second vendor after Anthropic
In February 2026, xAI signed an agreement allowing the military to use Grok in classified systems. Previously only Anthropic Claude was available in classified systems. Critically, Anthropic refused Pentagon demand to make Claude available for all lawful purposes, while xAI agreed to that standard. Senator Warren raised concerns about Grok's history of generating misinformation and antisemitic content.
